These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User," "Student," or "Instructor"), and the Platform operators (Digital Delta Corp), concerning your access to and use of our website, mobile applications, and learning management services.
By creating an account or accessing our services, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.
1. Eligibility and Account Creation
1.1 Account Requirement
To access any educational content, courses, or interactive features on the Platform, you must register and maintain an active user account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
1.2 Minors and Guardian Consent
While there is no strict age restriction for accessing the educational materials on the Platform, users who are minors under Nigerian law (typically under the age of 18) must obtain the explicit permission and supervision of a parent or legal guardian to open an account and utilize the Platform.
Any registration by a minor implies that a parent or guardian has reviewed and accepted these Terms on their behalf.
Parents or legal guardians are jointly and severally liable for any financial transactions or breaches of these Terms initiated by minors under their care.
1.3 Account Security
You are entirely responsible for maintaining the confidentiality of your login credentials (username and password). You agree not to share your account details, transfer your account, or allow any third party to access the Platform through your profile. You must notify us immediately of any unauthorized use of your account.
2. Business Model and Target Audience

2.2 Corporate (B2B) Accounts
Where an organization, corporate body, or institution ("Corporate Client") purchases bulk access, team subscriptions, or enterprise licenses for its employees or students:
The Corporate Client assumes full administrative and financial responsibility for all individual user accounts linked to its corporate license.
The Corporate Client guarantees that all its designated users will comply with these Terms, and the Client remains primary liable for any breach of intellectual property or code of conduct by its users.
3. Intellectual Property and Content License
3.1 Instructor Ownership Right
The Platform operates as an educational marketplace. Third-party instructors ("Instructors") who upload, publish, or teach courses on the Platform retain full ownership and intellectual property rights to their respective course materials, curriculums, and videos.
3.2 Platform Rights
By uploading content to the Platform, Instructors grant us a worldwide, non-exclusive, royalty-free, sub-licensable license to host, stream, display, market, and distribute their content to registered users of the Platform.
3.3 Limited Student License
When a Student enrolls in a course (whether free or premium), they are granted a limited, non-exclusive, non-transferable, revocable license to access and view the course content for personal, non-commercial, educational purposes.
Strict Prohibitions: Users are explicitly prohibited from downloading video files, capturing screens, recording audio, redistributing, selling, sharing access links, or repurposing any curriculum or course assets without express written authorization from the copyright holder.
4. User-Generated Content and Moderation
4.1 Content Submission
Users may be permitted to upload assignments, participate in discussion forums, post comments, and interact with fellow students or instructors ("User-Generated Content").
4.2 Code of Conduct and Moderation
We reserve the absolute right, though not the obligation, to monitor, review, edit, or delete any User-Generated Content that, in our sole discretion, violates Nigerian law, public morality, or our community guidelines. You agree not to upload content that:
Is defamatory, abusive, harassing, obscene, profane, or racially offensive.
Contains viruses, corrupted files, or malware.
Advertises unapproved third-party commercial services.
4.3 Copyright Infringement Claims
We respect intellectual property rights. If you believe that any material available on or through the Platform infringes upon any copyright you own or control, please notify us immediately with detailed proof of ownership. We will swiftly execute a takedown procedure to remove any infringing content pending investigation.
5. Financial Terms, Refunds, and Cancellations
5.1 Payment Gateways
All payments for Premium Content must be processed through our integrated, authorized payment gateways, which include PayPal, Paystack, and verified Bank Transfers. You agree to pay all applicable fees and taxes associated with your purchases.
5.2 7-Day Money-Back Guarantee
We offer a 7-day money-back guarantee on standard individual course purchases.
If you are unsatisfied with a course, you may request a refund within exactly seven (7) days of your initial purchase date.
We reserve the right to deny refund requests if, in our sole assessment, a significant portion of the course has already been consumed, certificates have been issued, or if the user is found to be abusing the refund policy.
5.3 Subscription Cancellation
For users subscribed to recurring access tiers:
You may cancel your subscription at any time through your account dashboard.
No Money-Back Guarantee on Subscriptions: Subscription payments are non-refundable. Upon cancellation, you will continue to have premium access until the end of your current billing cycle, after which your access will automatically terminate. No prorated refunds will be issued for unused days within a billing cycle.
6. Disclaimers and Limitation of Liability

The Platform and all content, courses, examinations, and tools provided therein are delivered on an "as-is" and "as-available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
6.2 Technical Glitches and Server Downtime
We do not warrant that the Platform will be completely uninterrupted, timely, secure, error-free, or free from server bugs or cyber-attacks.

We make no guarantees, explicit or implied, regarding your individual academic performance, success in external examinations, securing employment, professional accreditation, or income increases as a result of completing any course on the Platform.
7. Governing Law and Dispute Resolution
7.1 Governing Law
These Terms and your use of the Platform are governed by and construed in accordance with the laws of the **Federal Republic of Nigeria**, without regard to its conflict of law principles.
7.2 Jurisdiction
Any legal action, suit, or dispute arising out of or relating to these Terms shall be brought exclusively in the competent courts located within **Abuja, Federal Capital Territory (FCT), Nigeria**, and you hereby consent to the personal jurisdiction of such courts.
